Following an investigation by the US Department of Justice (DOJ), Chinese tech and entertainment powerhouse Tencent has decided to remove two directors from Epic Games’ board. This move comes amidst concerns over antitrust laws.
The DOJ revealed in a press announcement that the directors were found to be in violation of Section 8 of the Clayton Act. According to this regulation, an individual cannot serve as a director on the boards of two rival companies, which was the case with Epic and Tencent.
In the wake of these findings, Tencent has amended its shareholder agreement with Epic Games, relinquishing its right to appoint board members to the company that created Fortnite.
Miriam R. Vishio, the deputy director of civil enforcement at the DOJ’s antitrust division, emphasized the importance of this issue. She stated, “We’ve consistently prioritized the examination of interlocking directorates. Thanks to the exceptional efforts of our team, our enforcement actions concerning Section 8 have led to significant outcomes and have become ingrained in our approach over the past few years.”
